Seller Partner Agreement

The Seller Partner Agreement is only concluded with companies that have already signed the Sales Agreement, passed physical verification and been approved by KhadroX. Seller Partner status is not automatic or transferable.

KhadroX grants the partner Seller Partner status: autonomous creation of listings subject to manual KhadroX approval before publication.

This agreement supplements the Sales Agreement and does not replace it. If the two conflict, the Seller Partner Agreement prevails on partner-specific points.

• Dedicated dashboard to create, edit and manage listings.
• Self-service listing workflow without KhadroX drafting each ad (still subject to section 4 approval).
• History of transactions and completed auctions.
• Priority support channel with KhadroX for disputes.

Because KhadroX does not physically inspect machines before Partner listings go live, the Partner bears sole responsibility for accuracy and completeness.

• True technical descriptions, real hours, known defects, relevant buyer information.
• Current, representative photos — not archive or misleading shots.
• Same title, encumbrance, theft, hour-meter and tax warranties as for standard sellers.
• Notify KhadroX immediately if condition changes materially after publication.

Misleading buyers may trigger broader liability than for standard sellers, including towards KhadroX, as in the full agreement.

Each listing is manually approved. KhadroX may refuse or require changes without owing detailed reasons. On submit, the Partner electronically signs a Declaration of Conformity stating information and photos are true; false data may imply full legal liability including criminal consequences where applicable.

KhadroX approval remains a formal completeness check, not a technical warranty.

Same commission structure as standard sellers: 3% buyer surcharge and 3% seller commission on final price. Volume partners may negotiate written addenda. Settlement within 5 business days after cleared buyer funds; KhadroX may set off claims.

• Incomplete listings — KhadroX requests fixes pre-approval.
• Buyer-reported mismatch — temporary suspension pending clarification.
• Confirmed buyer complaint — account may be suspended until resolved.

KhadroX may carry out unannounced physical checks of listed machines. An internal quality score (accuracy, complaints, handover timeliness) can lead to revocation if persistently poor.

KhadroX may revoke status if e.g.:

• Repeated confirmed false/misleading information (≥2 incidents).
• Confirmed complaint rate >10% of transactions in 12 months.
• Serious breach of this agreement or the Sales Agreement.
• Insolvency of the partner.
• Failure to meet qualification criteria.

The partner reverts to standard seller rules. Running auctions finish as agreed. Written notice with reasons; the partner may contest within 10 business days.

Open-ended while Seller Partner status lasts. Either side may end with 30 calendar days' notice; running auctions complete. KhadroX may terminate immediately under section 7(1). The Sales Agreement continues unless separately terminated.

German law; courts in Bochum. 30-day amicable negotiation before court. Amendments only in writing, signed. If a clause is void, the rest remains.

Together with the Sales Agreement and Platform Terms, this is the full agreement on the partnership.
