Terms & Conditions: KHADROX Platform

KHADROX is a B2B-only online auction platform operated by KHADROX, a company registered in Romania (VAT ID [VAT ID], Trade Registry no. [J-NUMBER]), Bucharest, Romania. In these Terms, "KHADROX" refers to the operator of the platform. Full details are in the Legal Notice.

These Terms govern every use of the KHADROX platform, by buyers and by sellers.

KHADROX is B2B only: legal entities and registered traders with a valid VAT ID. Consumers are excluded. By registering you confirm that you act as a business.

Your own terms do not apply unless KHADROX has accepted them expressly in writing.

KHADROX lists and auctions machines under a commission arrangement: it sells the machine to the buyer in its own name and for the seller's account. Sellers authorise KHADROX by accepting these Terms (section 7). These Terms regulate (1) KHADROX and the seller, and (2) KHADROX and the buyer.

Transaction flow: the seller hands the machine over to KHADROX for listing. When the auction closes, KHADROX presents the highest valid bid to the seller, who accepts or declines (section 6). If the seller accepts, KHADROX invoices the buyer for the final price (plus VAT where applicable). After full payment is confirmed, KHADROX pays the seller the final price minus the seller commission within 5 business days. The seller issues its invoice to KHADROX for the net amount received.

Title passes to the buyer upon confirmation of full payment. Until then the machine remains with the seller, who holds it for KHADROX.

Independence: KHADROX is a platform for third-party sellers. Neither KHADROX nor any company affiliated with it bids on or buys machines listed on the platform, unless this is stated openly on the listing.

If the seller becomes insolvent after the auction but before handover, KHADROX will use reasonable efforts to secure delivery for the buyer.

Use requires registration and KHADROX approval. There is no automatic right of access. Accounts are B2B only (valid VAT ID).

You provide accurate company, VAT, e-mail and phone data and update changes without delay. Credentials are confidential, and you are responsible for all activity under your account. Buyers in countries with a Corruption Perception Index below 60 undergo extended validation. KHADROX may suspend or delete an account with two weeks' notice, or immediately for serious breach, non-payment or insolvency.

3.1 Buyer account

Any company with a valid VAT ID may request a buyer account after VAT and company checks. It allows bidding.

3.2 Seller account

Seller accounts are opened only by invitation from KHADROX. Approval includes verification of the company (trade register extract, VAT certificate, ID of the legal representative), which may include a site visit or a video call. KHADROX prepares and publishes all listings. Sellers cannot publish listings themselves.

Only invited and approved sellers may have listings on the platform. The seller warrants that: it may freely sell the machine, with no undisclosed liens, retention of title or third-party rights; the machine is not stolen, counterfeit or fraudulently obtained; hour meters and odometers are genuine and untampered; the machine is not illegally modified (including emissions systems); and no tax, customs or similar charges encumber the machine in a way that could pass to the buyer.

Every listing requires manual KHADROX approval before publication. KHADROX may refuse a listing without detailed reasons. Approval is a formal completeness check, not a technical warranty.

By providing information for a listing, the seller confirms that it is true and complete. False information is a serious breach. Together with KHADROX, the seller sets the description, technical state, starting price, auction length, availability and pickup window.

The listing may show the seller company's name and a business contact phone number chosen by the seller, so that bidders can ask questions about the machine.

Inspection materials should follow our inspection checklist where applicable. Where an inspection report exists, it is attached to the listing.

Listings show one of three categories:

• Standard — fully described, condition matches the listing per the seller's declaration.
• Repair object — not fully inspected or tested, defects may be undisclosed, no claims accepted.
• Spare-part object — not usable for its original purpose, sold as parts only, no claims.

No warranty is given for any category.

Each bid is binding and irrevocable. Minimum increments are set by KHADROX and shown on the listing.

Auto-bid: you set a maximum and the system bids in minimum steps. The maximum is itself a firm, binding cap.

Bidders see the current high bid but not other bidders' identities.

Anti-sniping: a bid in the last 2 minutes extends the end by 2 minutes, without limit.

Seller decision: at close, the highest valid bid is presented to the seller within 72 hours. The seller has 3 business days to accept or decline. During that time the bid remains binding on the buyer.

KHADROX notifies the highest bidder by e-mail of the seller's decision within 1 business day of receiving it. The contract between KHADROX and the buyer is formed when KHADROX notifies the buyer that the seller has accepted. If the seller declines, no contract is formed and no commission is due. The exact pickup address and further contact details are provided after the seller accepts the bid.

KHADROX may cancel or restart an auction before the seller's decision for proven technical errors or other justified reasons. Proven autobid errors attributable solely to KHADROX must be reported within 2 hours of the bid.

Bid rigging is a serious breach and may be reported to competition authorities.

7.1 Authorisation

By accepting these Terms when its seller account is activated, the seller authorises KHADROX to list, auction and sell the seller's machines on the platform as commission agent. This covers all machines the seller lists on KHADROX for as long as the relationship lasts.

7.2 KHADROX obligations

KHADROX lists machines after each manual listing approval; runs the auction process and receives bids; presents the highest valid bid to the seller within 72 hours of close; collects the purchase price from the buyer on the seller's behalf; pays the seller the final price minus 3% within 5 business days of confirmed receipt of full funds; shares the buyer's identity and contact details after the seller accepts the bid; and exercises diligence and professionalism throughout. KHADROX is an intermediary and cannot guarantee any particular sale price.

7.3 Seller obligations

The seller must: provide complete, accurate and updated technical descriptions, condition, hours, photos and documents; keep the machine as described until handover to the buyer; release the machine only after KHADROX confirms payment, and hand it over at the agreed time and place; invoice KHADROX for the net payout within 3 business days of the payment notification; and maintain insurance from publication until handover, with KHADROX as loss payee as agreed, and provide proof on request. The seller also gives the warranties in section 4.

7.4 Seller decision

The seller decides on the highest bid as set out in section 6. If the seller declines, no commission is due. A seller who repeatedly declines bids without good reason may lose access to the platform.

7.5 Commission

The seller pays KHADROX a commission of 3% of the final price of each completed sale, deducted from the payout. The buyer pays the final price plus VAT where applicable, and no commission (see section 8). The buyer pays KHADROX, and the seller may not demand direct payment from the buyer. KHADROX may set off other amounts owed by the seller. If a machine listed on the platform is sold outside the platform within 6 months after the listing ends, to a buyer who bid on or enquired about it through KHADROX, the seller owes the commission as if the sale had been concluded on the platform.

7.6 Withdrawal and penalties

Withdrawal of a machine before the auction starts is free of penalty if KHADROX receives notice at least 7 calendar days before the start. Later withdrawal, or failure to make the machine available, may trigger compensation for costs. The seller receives prior notice and may contest within 5 business days.

7.7 Confidentiality

Both parties keep commercial information confidential, including seller decisions and buyer data, for 3 years after termination. KHADROX uses the seller's name and contact details only to operate the platform, and not for unrelated marketing without written consent.

7.8 Seller liability

The seller is responsible to KHADROX and to buyers for false listings, intentionally hidden defects, undisclosed encumbrances and failure to deliver, and indemnifies KHADROX against third-party claims arising from them. KHADROX is not liable for the seller's technical statements or for the price achieved.

7.9 Ending the seller relationship

Either party may end it with 30 calendar days' notice. Running auctions complete under these Terms. KHADROX may end it immediately for fraud, failure to deliver after payment, insolvency or repeated serious breach. Outstanding amounts remain due.

8.1 Fees

The buyer pays the final price plus applicable VAT. KHADROX charges the buyer no commission and no additional platform fees. The seller receives the final price minus the 3% seller commission. Displayed prices are net unless stated otherwise.

8.2 VAT

VAT is applied under the applicable law. For intra-EU supplies the reverse charge applies with a valid VAT ID and proof of transport. For exports outside the EU, VAT is initially charged and refunded after complete export documentation has been validated. Domestic transactions follow local VAT rules. Correct VAT IDs and export documents are the buyer's responsibility.

8.3 Buyer payment

The invoice is due for full payment within 7 calendar days. From day 8, statutory late-payment interest applies under the applicable law. From day 15, KHADROX may suspend the account and cancel the deal, and the buyer may bear relisting costs and any negative price difference. KHADROX may set off mutual claims.

8.4 Payout to the seller

After cleared funds, KHADROX pays the net amount within 5 business days and may set off other amounts owed. The seller invoices KHADROX within 3 business days of the payment notification.

The seller states a pickup window of at least 5 business days after payment confirmation (15 business days by default if unspecified). The buyer may not collect before KHADROX confirms full payment. Transport, insurance and loading are the buyer's cost and risk. Pickup documents must match, and if an agent collects, risk passes as under these Terms. Failure to collect on time may trigger a storage fee of EUR 50 per day (plus VAT) and, after 30 business days, cancellation and relisting at the buyer's expense.

The buyer must inspect at pickup. Visible discrepancies must be documented (photo or video) before the machine moves. Claims must be filed before transport from the pickup site to [email protected]. No repairs without prior written approval from KHADROX and the seller. KHADROX mediates. Neither KHADROX nor the seller is liable for indirect damages or lost profit in that context.

Buyers who collect a machine for export must export it promptly after pickup to the buyer's registered country. A VAT refund is requested through the platform VAT Refund portal or by e-mail to [email protected], with documents such as Bill of Lading, CMR, AWB or customs exit proof, and the Export Declaration (KHADROX template, completed and signed by the buyer). Complete and correct documentation is the buyer's responsibility. Approved VAT refunds are processed within about 10 business days after validation.

All machines are sold as seen and as is. Information comes primarily from the seller. KHADROX may inspect at its discretion but need not. Fraud by the seller preserves the buyer's statutory rights, and the seller indemnifies KHADROX for false information.

False or misleading information about machines or identity; automated scraping, bots or abuse of infrastructure; bid rigging; sharing access credentials or registering under false names; concluding outside the platform the sale of a machine listed on KHADROX in order to avoid the commission. Willful breach may mean immediate suspension and damages.

The platform is B2B only. There is no consumer right of withdrawal, and bids are firm business declarations.

Nothing in these Terms limits liability that cannot be limited by law, including liability for intent, gross negligence and injury to life, body or health. For other breaches, KHADROX is liable only for typical, foreseeable loss caused by a breach of a core obligation. KHADROX is not liable for the seller's technical statements, for the connectivity of third parties, for indirect damages or lost profit, or for uninterrupted platform availability, except where mandatory law provides otherwise.

KHADROX is not liable for failures caused by events beyond its reasonable control (for example cyberattacks, infrastructure failure or natural disasters) and will notify users and seek to restore operations. Affected auctions may be cancelled and bids refunded if no contract was formed. Confirmed transactions remain payable.

Before court action, the parties attempt mediation through KHADROX, with a 2-month waiting period (except for urgent interim relief). Contractual claims must be notified in writing within 12 months from when the party knew or should have known of the facts, without prejudice to mandatory limitation rules.

The relationship is open-ended and may be ended with four weeks' notice to month-end. KHADROX may terminate immediately for serious breach, payment more than 15 days late, or insolvency. User data is deleted 8 weeks after termination, except where the law requires retention.

KHADROX may amend these Terms with at least 30 days' e-mail notice. If you do not object in writing within 30 days, the new Terms apply (this legal effect will be stated in the notice). Objection may lead to termination at the time the new Terms would take effect.

KHADROX may transfer the operation of the platform and its rights and obligations under these Terms to an affiliated company, with at least 30 days' e-mail notice. Users may object and terminate within that period.

Processing of personal data is described in our Privacy Policy under the GDPR.

Romanian law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. The courts of Bucharest, Romania have jurisdiction. If a clause is invalid, the remainder remains in force, and the invalid clause is replaced to match its original economic intent. A user may set off only undisputed or final claims.
